LITTLE CROW PHOTOGRAPHY CLUB CONSTITUTION AND BY-LAWS

CONSTITUTION
ARTICLE I: NAME
This organization shall be known as the Little Crow Photography Club.
ARTICLE II: GOAL
The goal of the Little Crow Photography Club membership shall be the enjoyment, mastery and advancement of photography through cooperation, effort and good fellowship.
ARTICLE III: MEETINGS
Regular meetings of the club shall be held on the fourth Monday of each month at 7:00 p.m., or as stipulated by the President.
ARTICLE IV: MEMBERSHIP
Any person interested in photography may apply for membership. Membership of any member may be suspended, when sufficient reasons exist, by action of the Executive Board. The suspended member shall have the right to appeal suspension, in which case the action of the Executive Board shall be upheld or rescinded by a majority vote of the membership.
ARTICLE V: OFFICERS
The following officers shall be elected by the membership: President, Vice President, Secretary and Treasurer.
ARTICLE VI: COMMITTEES
Committees may be appointed by the president as required.
ARTICLE VII: EXECUTIVE BOARD
The management of the club shall be directed by the Executive Board composed of the elected officers, as listed in Article V, and the past president. The Executive Board shall meet as often as necessary to transact the business of the club. Three members of the Executive Board shall constitute a quorum.
ARTICLE VIII: AMENDMENTS
Amendments to the Constitution and By-Laws may be proposed by any member to the Executive Board and be incorporated, if approved by a majority vote of the membership present at a club meeting.
BY-LAWS
ARTICLE I: FINANCE
The yearly dues shall be set by the Executive Board. The fiscal year for the club shall be January 1 to December 31. An annual financial report of the previous year will be presented to the members at the February club meeting along with a proposed budget for the new year.
ARTICLE II: ELECTIONS
Election of officers shall be held annually. The executive board will prepare a single slate of officers, and obtain an agreement from the nominees to serve if elected. The President shall present the slate at the September meeting. If additional nominations are made from the floor a written ballot shall be taken. No officer can be re-elected to the same post for more than two consecutive terms, unless a longer term is approved by a majority vote of the membership present at a club meeting. Vacancies in the club offices shall be filled by the president, subject to the approval of the Executive Board. Vacancy of the president's office shall be filled by advancement of the vice president.
ARTICLE III: DUTIES OF OFFICERS
Duties of the president shall be: To preside at all club meetings and Executive Board meetings; to establish committees as needed; to act as club spokesman; to generally supervise and keep in touch with all club activities.
Duties of the vice president shall be: To assume duties of the president in his/her absence.
Duties of the secretary shall be: To keep records of the minutes of all meetings; to notify members of special meetings and events; to conduct correspondence of the club.
Duties of the treasurer shall be: To collect dues, pay bills and maintain financial records of the club, keeping custody thereof; make an annual report and budget for the upcoming year to membership.
ARTICLE IV: DUTIES OF COMMITTEES
The activities of club committees shall be approved by the President. Committee Chairmen shall communicate activities and progress to the President.
ARTICLE V: QUORUM
A quorum of the membership for the purpose of conducting club business shall consist of not less than one-quarter of the entire membership.
